| Usha Beltron Board clears IT division transfer to new company
|
The Board of Directors of Usha Beltron Ltd (UBL) at its meeting held today (March 29/03/2000), has approved a scheme of arrangement to be made between the company and Usha Martin Infotech Ltd (UMIL) and UBL's shareholders whereby it is proposed to reorganize and reconstruct the company by transferring its information technology and knowledge business to UMIL with effect from January 1, 2000. The rest of the business of the company will continue to remain with UBL.
In consideration of the arrangement, UMIL will issue and allot to all the shareholders of the UBL one equity share of Rs 5/- each in UMIL, credited as fully paid up for every equity share held in UBL, and one preference share of Rs 50/- each in UMIL for every one preference share held by them in UBL.
After the reconstruction it is proposed to reduce the share capital of the UBL by cancelling a sum of Rs 5/- per equity share on each of the issued, subscribed, and fully paid up equity share of Rs 10/- each and a sum of Rs 50/- per share on each of the issued, subscribed, and fully paid up preference share of Rs 100/- each.
The scheme is subject to the approval of the shareholders and sanction of the Hon'ble High Court.
